WEBSITE TERMS OF USE

These terms and conditions apply between you, the User of this Website (including any sub-domains, unless expressly excluded by their own terms and conditions), and Fern Fuller Services, the owner and operator of this Website. Please read the full Website Terms of Use carefully, as they affect your legal rights.

 

Your agreement to comply with and be bound by these terms and conditions is deemed to occur upon your first use of the Website. If you do not agree to be bound by these terms and conditions, you should stop using the Website immediately.

MY PROMISE

To conduct your business affairs in a professional manner and avoid behaviour that could bring your business and reputation into disrepute.

To conduct my business affairs based on sound, ethical principles and will communicate fairly and honestly with you, your clients, associates, employees and suppliers.

To make an honest representation of my skills, experience and qualifications at all times.

To respect the confidentiality of your personal and business practices and recognise your ownership of intellectual copyright pertaining to your business activities.

To keep all acquired personal data safe and secure and ensure it is only used for its intended purpose, in accordance with GDPR.

BUSINESS TERMS

  1. Our Services are provided on a ‘business-to-business’ basis.

  2. The delivery, structure and ‘ways of working’ are my intellectual property and are not under your direction or control.

  3. My services are my business and are not subject to any restrictive clauses or non-competes. I will continue to market and work for other clients and will sign an NDA if that reassures you.

CONFIDENTIALITY & RIGHTS

  1. Fern Fuller Services shall keep any work undertaken confidential and not use it for personal gain or promotion without the written consent of the Client.

  2. The business affairs of the Client shall not be discussed or disclosed to any third parties.

  3. Upon payment of our fees and charges we will assign to you the Rights in Materials uniquely created for you. This does not include the Rights to any templates, structures or methodologies that I use to create Materials

  4. The right to use and obtaining the right to use along with ownership of content and images supplied by the Client remain their responsibility. It will therefore be assumed that said right have been obtained before sharing with Fern Fuller Services.

YOUR DATA

  1. Under the terms of the Data Protection Act 1998 / GDPR, the Client and FernFuller Services may keep on record such information (e.g. contact details) as is necessary. Either party may view the other’s records to ensure that they are relevant, correct and up to date.

  2. Documents and information: We will agree to a safe and secure system for sending or sharing confidential documents and information (and us returning them to you). We are not liable for data that is not securely transmitted to us.

  3. Log-ins: Where you wish us to access systems that contain information that identifies living individuals, you should provide us with a unique log in to your existing software platforms and systems.

  4. Where multi-user log ins are not available you will securely share passwords through password protection software.

  5. Note that we may make and keep temporary backups to ensure continuity of service.

FINANCIAL T&Cs

  1. Work needed to be delivered outside of core hours agreed, or over weekends will be charged in addition to retainer fees. A fee will be agreed upon, however, to help you plan. 

    1.  £150 for the first hour or part thereof. 

    2. Work is then billed hourly or part-time thereof at £75 

  2. Work is delivered as per packages agreed I  do not offer hourly or one-off services.

  3. Where work is undertaken by retainer, you must specify your priorities and deadlines in line with the Statement of Works* that you have agreed.

  4. If you want additional work to that in the Statement of Works agreed, we will need to negotiate subject to my availability.

  5. If following investigative calls, it becomes apparent that significantly more work is required than had been anticipated in the preliminary Scope of Works*, Fern Fuller Services may renegotiate the fee and/or the deadline.

  6. Similarly, if, during the term of the work, additional tasks are requested by the Client, Fern Fuller Services may renegotiate the fee and/or the deadline.

  7. Should ongoing project work be suspended or delayed through any fault of the client, Fern Fuller Services shall be entitled to immediate payment of work already carried out and any expenses incurred.

 

* Statement of Works is the agreed deliverables and where the detail of hours, timings, task outlines and fees are specified

INVOICING

  • Clients will be invoiced in advance of ALL assignments unless agreed otherwise.

  • Initial payment  is to be made on receipt of the invoice for work to begin

  • Payment for ongoing work is due 1st of each month.

  • Once an invoice becomes overdue, no further work will be undertaken.

  • Unpaid invoices will incur interest, as per UK  government guidelines.

BILLABLE TIME

  • Includes meetings and calls. 

  • The writing and/or reading of correspondence via email or text.

  • Time used to deliver the service,  investigate, and research including learning of new software when requested,to provide support agreed upon within the service agreement​

EXPENSES

  • Any cost, as agreed, related to the delivery of work will ideally be paid for by the client reducing the need for expenses.

  •  Specific software, licenses or usage fees that are required to provide support to you are at your cost. 

  • All postage, printing and other stationery expenses, as agreed, will be added to the invoice for reimbursement.

NOTICE & TERMINATION

The Client AND Fern Fuller Services have at any time the right to terminate the contract if they feel there has been a serious breach of the terms and conditions.

 

The notice must be provided in writing and is deemed accepted only when acknowledged by a return reply.

 

Any work done after termination of a contract or service will be charged at the normal hourly rate or equivalent. This includes responding to emails, returning information, finding information, or any other action taken as a result of an email or telephone call from you. Termination of a Booking will not invalidate such charges and invoices should be paid in accordance with these Terms.

 

My terms and conditions may be updated at any time to suit the demands of the business.
